## The Problem

However, despite the availability of various cross-chain protocols on both EVM and non-EVM networks, user experience remains primarily **multichain**. ### **Example Scenario**

If a user has **100,000 USDT in BNB Chain** and wants to open a staking position in a protocol on Solana, they currently need to complete a minimum of four transactions and visit several websites:

1. **Wallet Download**: Access a Solana wallet provider to create a compatible wallet.
2. **Bridge Protocol Site**: Bridge funds from BNB Chain to Solana.
3. **Centralized Exchange or Liquidity Aggregator**: Exchange some USDT for SOL to pay for Solana’s network fees.
4. **DEX Protocol**: Convert USDT received in Solana to SOL for staking.
5. **Staking Protocol Site**: Deposit funds to the staking protocol to receive LP tokens in Solana.

This complex, multistep process not only drives up costs and time but also increases the risk of user error and exposure to security threats.

# Fees

Chainspot monetization model

## Overview

Chainspot employs two monetization models, customized based on whether the service operates in a B2C or B2B capacity.

## For B2C (Retail Users on app.chainspot.io)

### **Transactional Business Model**

* A fee of **$0 to $2** in the native currency of the user’s source network (e.g., BNB, ETH, SOL) applies, depending on the liquidity provider, token, and source network.
* From **0% to 0.02%** transaction fee is also applied on the exchange or transfer amount, with the rate depending on the liquidity provider, token, and network.

### **Success Fee Business Model**

* A **5% to 12%** fee on the yield earned from any DeFi position opened via Chainspot in a yield-generating protocol.

## For B2B (Wallets, dApps, Fintech)

The B2B model also includes both transactional and success fee structures, but **partners determine their own fee rates and formats**. Chainspot, in turn, charges up to **30% of these fees**, with minimum charges set at **0.01%** on the volume of swaps and transfers and at least **5% success fee** on opened positions.

# Overview

## Intro

**Our goal** was not only to simplify and accelerate user and business access to DeFi but also to do so with optimal efficiency regarding blockchain fees and liquidity movement (swap/bridge). \
To achieve this, we found an effective balance between on-chain and off-chain modules, minimizing fee costs, streamlining DeFi position management, and ensuring security, even if control over the off-chain components is compromised.

**The core business logic** for handling user funds is executed through smart contracts, providing a reliable and predictable protocol in all use cases. \
The off-chain component acts as an interface for smart contracts and is responsible for generating the most efficient route for user fund transfers (like a “skyscanner” for liquidity) based on integrated liquidity providers. It also handles callData and payload assembly and supports analytical tasks and cross-chain messaging (cross-chain native token standard) via the Asterizm infrastructure.

Additionally, the **B2B Integration Kit** is developed and delivered from the off-chain module, facilitating seamless partner integrations.

## Components

The Chainspot protocol infrastructure consists of multiple on-chain and off-chain modules.

### **On-chain**

* Set of liquidity manager smart contracts: execution of the on-chain and cross-chain swaps via third party liquidity providers + multihop features.
* Set of yield manager smart contracts: connectors to the third party yield vaults, execution of DeFi positions management(deposit/withdrawal/claim) + auto compounding.
* Set of LP token manager smart contracts: wrapping of vault LP tokens into omnichain standard with Asterizm infrastructure, bridgeless transfers across EVM and non-EVM chains.
* Set of loyalty manager smart contracts: cashback and referral payouts claimer, NFT membership and some business logic related to the loyalty program of the Chainspot.

# Liquidity Routing

## Overview

This module consists of a system for finding the most efficient route for asset swaps and includes connectors to various liquidity providers, such as DEXs, bridges, and other routers. The connectors are implemented both through APIs and direct interactions with liquidity protocol contracts (RFQ and mint/burn models).

### Features of this module include:

* **Finding and assembling the most efficient route** for user asset swaps within a single blockchain or across multiple blockchains (aka cross-chain swaps). When the exchange rate is requested Chainspot queries all connected liquidity providers: DEXs, bridges, and routers to find the best path to exchange.
* **Providing transaction history** to users.
* **Facilitating return payments** to the source network based on a user-signed message. For example, if a user in BNB Chain closes his position in a staking protocol on Solana, he pays the fee in BNB Chain and receive his tokens back in BNB Chain from Solana.\

A key module for enabling fast and secure management of omnichain DeFi positions without overpaying for unnecessary on-chain transactions.

## Overview

This module implements off-chain logic for the aggregation of cross-chain farming and position opening functionalities.

## Key functions of this module include

* **Preparation and assembly of callData and payload** to simplify interactions for users or B2B partners with Chainspot contracts (for example, a transaction for cross-chain deposits into a yield protocol).
* **Storage and processing of metadata** about yield vaults.
* **Payment of blockchain fees** for opening DeFi positions when a cross-chain deposit occurs.
* **Analytics for open DeFi positions**: PNL, APY, APR, and other metrics.

# Gamification Module

Loyalty must be rewarded with Chainspot Family loyalty program!

## **Overview**

**This module is the off-chain component of the Chainspot protocol, essential for implementing one of the best loyalty programs in the cross-chain market.**

The loyalty program is executed on contracts with a verification mechanism for calculating points on the backend of this module. This approach allows for full automation and transparency in the entire process of level accrual, cashback, and payouts to users, which are also performed on contracts in each supported network.

A transaction is eligible for the loyalty program only if:

* It occurs on a blockchain where the loyalty program contracts are deployed.
* The liquidity protocol handling the transaction for swaps or bridges participates in the program (supporting interactions with Chainspot proxy contracts).
* The exchanged token is part of the program (99% of tokens participate by default, but there are some exceptions due to the technical specifics of the token's smart contract).

## **The functionality of this backend module includes**

* **Calculating user points** in the program based on connections to proxy contracts, taking into account the number of transactions to an address and transaction volume.
* **Calculating cashback** for each transaction made under the program.
* **Validating level issuance** and approval for claiming NFT membership.
* **Referral system**: handling payout calculations, maintaining a list of referrals, and tracking the transaction history of referrals.

This module enhances user engagement through rewards while ensuring a transparent and efficient process for both users and partners involved in the Chainspot ecosystem.


# Enterprise Module

The gateway to omnichain DeFi for wallets and fintech

## Overview

**This module is designed specifically to meet the needs of B2B partners: Tier 1 crypto wallets and fintech applications.** The Enterprise module operates exclusively with integrations in fintech projects and can be configured or enhanced according to the requirements of the partner project.

* **Exchange Operations Report:** This includes details such as the number of transactions, volume, networks, tokens, paid fees, used liquidity providers, and other relevant parameters.

The Chainspot Client Server module functions as an off-chain module within the Asterizm infrastructure, facilitating the transportation of payloads between blockchains. \
The most important role in processing and verifying cross-chain transactions plays an on-chain Asterizm client, that calculates and checks proofs from payload and hash this smart contract receives from Chainspot Client Server and Asteriz Relayers.&#x20;

This design enables efficient cross-chain communication, allowing for seamless transactions while ensuring the integrity and reliability of the data being transferred.

The transaction flow within the Chainspot protocol, utilizing the Asterizm infrastructure, follows a secure and trustless model:

1. **Payload Submission**: The payload is sent to the immutable Chainspot smart contract, which inherits the abstract methods from Asterizm for sending and receiving data. The contract computes a hash of the payload directly.
2. **Client Server Retrieval**: The Chainspot client server retrieves the payload, while the hash is collected by the relayer servers of the Asterizm protocol.
3. **Payload Execution in Destination Network**: When the payload arrives at the destination network's immutable Chainspot smart contract, it undergoes a re-computation of the hash to ensure it matches the one received from the Asterizm relayer servers.
4. **Validation and Execution**: If the hashes match, the payload is executed, such as withdrawing funds from a DeFi position or claiming rewards. If they do not match, the transaction is deemed invalid.

This approach enhances security by leveraging a trustless infrastructure, ensuring the safety of user funds even if the off-chain module of Chainspot is compromised. This method emphasizes the reliability and integrity of transactions across different blockchain networks.

Step by step explanation of on-chain and off-chain operations

## Cross-chain deposit | Open an omnichain DeFi position

### **Step by step flow**

1. The user accesses the Chainspot frontend (or via the API if they are a B2B partner) to select a desired yield vault and requests the most advantageous route for exchanging and transferring funds to the yield protocol's network (in this case, from BNB Chain to Base chain).
2. The user signs the `callData` with the payload to execute a cross-chain deposit transaction of the token into the yield protocol on the Base network. After this, the asset along with the payload (instruction) is sent to the Chainspot managing contract.
3. The user’s tokens are transferred to the liquidity protocol contracts for exchange and transfer to the Base network. At this stage, the Chainspot on-chain and off-chain connector is utilized to various bridges and DEXs (e.g., Symbiosis, 1inch, etc.).
4. During the exchange/transfer, and subsequent allocation of funds in the yield protocol, several off-chain modules are involved:
   1. The Liquidity Routing Module, which connects to liquidity protocols, ensures the most efficient and rapid process for exchanging and transferring tokens to the destination network.
   2. The Yield Routing Module, which generates the payload for depositing the user’s tokens into the yield protocol, accounting for the final amount after all fees and slippage from the liquidity protocols.
   3. The Gamification Module, which records the successful transaction and awards points, cashback, and other bonuses to the user's loyalty program.
5. At this point, the user’s funds have been successfully exchanged and transferred to the yield protocol network (Base), landing on the Chainspot liquidity management proxy smart contract.
6. The user’s funds are moved to the smart contract to execute the deposit into the yield protocol, emitting an event for the Yield Routing Module with the transaction status.\
   **Atomic transaction.**
7. After receiving the event, the Yield Routing Module sends the payload with instructions to the Chainspot manager contract to execute the user’s deposit into the yield protocol, minus the blockchain fee for the transaction.\
   **Atomic transaction.**
8. The user’s tokens are deposited into the yield protocol, resulting in the Chainspot manager smart contract receiving the LP tokens from the yield protocol. \
   These tokens are immediately wrapped into a cross-chain native format (also known as omnichain) using the Asterizm smart contract abstraction. \
   During this transaction, a key-value pair is recorded on the contract, marking the owner’s address, which prevents the withdrawal of funds from any other address, including that of the Chainspot manager contract owner (the Chainspot team). This transaction is atomic.\
   **Atomic transaction.**
9. Utilizing the Asterizm infrastructure, the Chainspot manager contract initiates the transfer of the cross-chain native LP token from Base back to the BNB Chain.
10. At this stage, the cross-chain native LP token is moved from the Base network to the BNB Chain, using the mint/burn mechanism implemented within the Asterizm smart contract abstraction. To ensure the security of the cross-chain transaction, as per the protocol's architecture and business logic, the on-chain client computes a hash of the payload. \
    \
    This payload contains information indicating that the LP token was burned on the Base network and that an equivalent amount of LP tokens should be minted and transferred to the user’s address. Following the hash computation, the on-chain client contract emits an event that is monitored by Asterizm relay servers and the Chainspot client server, which operates on Asterizm. The Asterizm relays transfer the hash to the BNB Chain, while the Chainspot client server moves the payload.

    In the BNB Chain, before executing the payload (token minting to the user’s address), the on-chain client Asterizm smart contracts validate the cross-chain transaction by recomputing the hash from the received payload and comparing it with the one received from the Asterizm relay servers. If the hashes match, the received payload is executed. \
    \
    This approach ensures the secure delivery of the payload (moving cross-chain native LP tokens between networks), even in the event of a compromise of Chainspot's servers, as the final verification relies on cryptographic hashing and is fully executed on the destination network smart contract (in this case, the BNB Chain).
11. Upon successful verification of the cross-chain transaction’s validity, the Asterizm on-chain client smart contract sends the payload to the Chainspot manager contract with instructions to mint the cross-chain native LP tokens from the position in the yield protocol on the Base network to the user’s address.
12. The Chainspot manager contract mints the cross-chain native LP tokens and sends them to the user’s address. \
    At this stage, the business logic of the "cross-chain deposit" action concludes, whereby the user, having signed a single transaction on the BNB Chain, opens an on-chain DeFi position in the yield protocol on the Base network. \
    **Subsequently, the user can manage this position, also paying transaction fees in the BNB Chain: claiming rewards, withdrawing, and adding to the position.**

## Cross-chain withdrawal | Close an omnichain DeFi position

### **Step by step flow**

1. The user signs the transaction to withdraw funds from the yield protocol (closing the position). This can be done by directly interacting with the smart contract or through the Chainspot website or its B2B partners.
2. After the transaction is signed, the LP tokens are burned, and a payload is created for sending to the Base network.
3. The proofs are calculated on the smart contract, and the payload is transmitted to the network.
4. Upon validation, the payload is sent for execution to the contract, which retrieves the original LP tokens and processes the withdrawal.
5. The user’s funds are withdrawn to the Chainspot smart contract, emitting an event for the Liquidity Routing Module and the Yield Routing Module.
6. After receiving the event indicating successful withdrawal from the yield protocol, the Yield Routing Module updates the status of the DeFi position for analytical purposes and to reflect it on the Chainspot interface or the partner frontend. The user's funds are then sent to the Chainspot liquidity smart contract for further transfer back to the original network, BNB Chain.
7. Utilizing the Liquidity Routing Module, an optimal route is established for transferring the funds back to the user’s original network (BNB Chain). Subsequently, the exchange and transfer of funds to the BNB Chain address are executed.

## Exceptional cases

* **Error During Exchange/Transfer of Funds**\
  If there is an issue on the liquidity provider's side during the transaction, the funds are automatically returned to the user's address in the original network, minus the blockchain fee. If the funds are stuck on the bridge due to technical reasons, the bridge team can either manually process the return upon request or execute an automatic return via the [bridge's website](https://cbridge.celer.network/1/56/USDC).
* **Deposit Issues in the Destination Network (Chain where is Yield Protocol deployed)**\
  If there is a failure at the yield protocol smart contract level, a gas spike, or any other reason:
  * **For EVM Networks:** The user can retrieve their funds within the same network by making a request to the smart contract from the same address used to initiate the DeFi position in the original network.
  * **For Non-EVM Networks (e.g., Solana):** The user can recover their funds using a special method called `rescueDeposit` in the smart contract of the original network. This method sends a signed withdrawal instruction (payload) to the yield protocol network, leveraging the cross-chain messaging protocol Asterizm. Upon receiving this instruction, the yield protocol network will execute a method that requests the Liquidity Routing Module to transfer the user's funds back to their original network. Consequently, the funds will be returned at the best exchange rate, minus the non-EVM blockchain fees.
* **Inaccessibility of the Chainspot Frontend**\
  Even if the Chainspot website is unavailable, users can still withdraw their funds from the yield pools by utilizing smart contract methods. Detailed instructions on these methods will be provided in the project's GitHub repository.
* **Sudden Price Surge During Token Exchange (Slippage)**\
  The deposit transaction into the yield protocol will still be successful even if there is a sharp price spike during the user's exchange/transfer. Chainspot is designed to save users' time and funds, so in this scenario, the funds will be deposited based on the amount received from the exchange, ensuring the user does not incur additional costs for a repeat deposit transaction.

* After a successful transaction on the router, it may take approximately 60 minutes for your XP to be validated and credited to your account (the address you connected to Chainspot with).
* You cannot claim the same level of NFT twice, preventing endless claiming and distribution to other participants.
* If you transfer or sell an NFT from your address, you will be excluded from the program (all bonuses become unavailable, including the referral program and cashback. While they will be accrued, you can only claim them if you return the NFT to your address).
* Only EVM wallets are supported for participation in the program.

The questions you probably have while interacting with Chainspot Family program

## Who can participate in the program, and how?

All users of Chainspot products can participate in the program. Simply make your first transaction on the router in a network and through a provider supported by the program. After that, earn experience points and claim your first **Chainspot Family Carbon Member NFT**.

**Important!** Experience from transactions is credited to your address within one hour after the transaction is completed. Therefore, please refresh the page and open the sidebar 60–70 minutes after the transaction to view your earned experience and claim your NFT.

## Is it necessary to claim an NFT to participate in the program?

To receive all the program's benefits, you must have an NFT on your address; otherwise, you will be unable to withdraw your referral and cashback balances.

If you have removed the NFT from your address or have not claimed it yet, you will not be able to take advantage of the program's benefits, even if you have accumulated experience points.

## I made a transaction, but I didn't receive experience points.

Experience points are credited within 60–70 minutes after the transaction is completed. After this time, refresh the page and open the sidebar to see your experience points.

If more than 70 minutes have passed and you have not received your experience points, check the transaction history to see if the "Loyalty Program Participation" badge appears next to the liquidity provider (bridge/DEX) and the source network.

Not all networks and aggregated protocols participate in the program, but we are expanding the pool of supported networks and projects each month.

## I have experience points, but I cannot claim my NFT.

Try clearing your browser's cache and reopening the page. If that doesn't help, and you have enough experience points for the level claim, but the **Claim** button either doesn't appear, is unclickable, or the transaction results in an error, please contact our support chat. We address all issues there.

For any bug you find, you will receive a reward ranging from 10 to 100 USDT.

## What can I do with Chainspot Family Member NFTs?

To enjoy all the benefits of the Loyalty Program—such as cashback, referral program bonuses, partner bonuses, and a boost for airdrop campaign points—you must keep your NFT in your wallet.

However, if you decide to exit the Loyalty Program, you can transfer the NFT to a friend or sell it on NFT marketplaces.

You can also purchase an NFT of any level from other holders in the marketplace to gain all the level's bonuses without having to complete it yourself. However, if you wish to advance to the next level, you will need to earn the necessary experience points yourself, or purchase the next level from the marketplace.

## How do I advance to the next program level?

To advance to the next level, you must accumulate the required experience points, which are awarded for transactions, volume, and referred users, as well as various actions in partner campaigns.

You can also buy the next level from other users on the NFT marketplace at any time.

## Why can't I participate in the program if I am using a non-EVM wallet (such as TronLink)?

Currently, the Loyalty Program only supports participation through EVM-compatible wallets. If you transfer funds from an EVM network to a non-EVM network, you will still earn experience points for the transaction.

## I bought a Silver Member NFT, but my experience points did not increase.

When you purchase an NFT from the marketplace, you gain access to all the level's bonuses, but you do not receive the experience points needed to claim that level.

## Introduction

Before you can use the client API, you need to submit an application to add a client to the system. After registration, the client is provided with the following **private data**:

* **Api key** - the key to access the API of the system, without it API methods will not work. In the header of each request, you need to add the field *{ApiKey: “your-api-key”}*
* **Encryption key** - the key needed to encrypt the private key for its subsequent submission to the system (one of the options for conducting the transfer)

To make a transfer the client should perform 2 actions (call 2 API methods):

1. Send a request to create a transfer (with simple or advanced option), and receive the data of the created transfer
2. Initialize the transfer you need to sign, and send the transaction on the side of the Web 3.0 wallet that you use

After successful execution of these methods, the transfer will be initiated, and after that, the amount will be sent to your address in the destination network (execution time depends on many factors, not all of them depend on our service).

After creating a transaction, a **method of obtaining the status of the transaction** will be available, which can be used to obtain the actual data of the execution of the transfer.

#### **Options for searching routes**

There are several options for obtaining routes:

1. Simple option - get the recommended Chainspot router route. The best route is determined by a combination of many factors, such as transfer execution time, the amount received in the destination network, fees, etc. To obtain the route using this method, one API request is sufficient.
2. Advanced option - get a list of all available routes based on the given parameters, select the desired one according to your internal logic, and then retrieve the details of the selected route with a second request. To obtain the route using this method, you need to make 2 API requests—first, to get the list of available routes, and then to retrieve the details of the selected route.

#### **Loyalty logic**

Users of the Chainspot router can participate in a loyalty program, where by making transactions that meet certain conditions, they gain experience, level up, and receive bonuses. You can read more about this system here.\
Users of the client using the Chainspot API also gain experience, allowing our clients to use this bonus as an additional motivator to stay in the system.

However, not all routes support the loyalty program. Those that do have a flag in the parameters: useLoyalty: true.

## **Transaction initiation call (simple option)**

Accepts the following parameters:

1. *networkFrom (string, required)* - departure network symbol

   &#x20;(for example, Ethereum - ETH, Polygon - POL etc.)
2. *networkTo (string, required)* - destination network symbol (similar to networkFrom)
3. *cryptoFrom (string, required)* - departure token symbol (for example, Ethereum - ETH, USDT - USDT etc.)
4. *cryptoTo (string, required)* - destination token symbol (similar to cryptoFrom)
5. *addressFrom (string, required)* - the address from which tokens are sent in the departure network, as well as the address to which the tokens arrive in the destination network
6. addressTo (string, not required) - the user's address in the destination network; the funds will be delivered to this address once the transfer is fully completed
7. *amount (string, required)* - the number of tokens to be sent from the departure network, accepts the amount in the minimum unit (*for example, the decimal of Ethereum is 18, so in order to send 1 ETH, you should* enter *1000000000000000000; the decimal of USDT is 6, so in order to send 100 USDT you should* enter *100000000*).

This call creates a new transaction in the system and returns the transfer data.\

# Monetization

Your product - your rules

## **Percentage of Every Transaction**

* You can choose any percent from the total swap/bridge amount for example 0.01% or 3.2%. It is fully up to you, there is no high or minimum limit;
* The commission is taken in source swap token (for instance: a user swaps OP on Optimism to USDT on BNB Chain, a user pays product's fees in OP. Gas fee is not included. An integrator receives income in OP token).
* Another example: if a user swaps 100 USDC on the Base chain and the set commission is 1%, 99 USDC tokens are used in the calculation of the trade and 1 USDC is sent to the Chainspot's smart contract, where it's further distributed between the integrator and Chainspot.

## Fixed Amount

* You can set fixed commission for cross-chain and on-chain swaps ;
* The commission is taken in a source network native gas token (for instance: a user swaps ETH on Ethereum to USDT on Arbitrum. A user pays fees in Ethereum's native gas token ETH. Gas fee is not included. An integrator receives income in ETH).

## **Percentage + Fixed amount:**

* The commission is taken in a source swap token + source network native gas token (for instance: a user swaps USDT on the Mantle to USD+ on Base. A user pays fees in Mantle's native gas token MNT + fee in USDT. Gas fee is not included. An integrator receives income in MNT and USDT).

## Security and Architectural Integrity

Chainspot has undergone multiple security audits conducted by leading blockchain security firms, including:

* **HashEx Audit Report**
* **DeCurity Audit Report**

The protocol's architecture is designed to ensure that, regardless of the attack vector, the funds placed in yield protocols remain secure. The process of exchanging and transferring assets at optimal rates between networks is carried out exclusively through verified and reliable liquidity protocols.

To implement this architecture, we adhere to several design principles and utilize various technical approaches within our security policy, covering all components of the Chainspot infrastructure:

* **On-chain Component:** This includes Chainspot’s smart contracts and the inherited smart contracts from the Asterizm smart contract abstraction for cross-chain messaging, facilitating omnichain LP tokens.
* **Off-chain Component:** This encompasses liquidity and yield protocol aggregation modules, along with the Asterizm-based client server for cross-chain operations involving omnichain LP tokens.

## On-chain Component

Chainspot employs several sets of smart contracts to interact with user funds securely:

1. **Liquidity Management Contracts**: These contracts are responsible for the exchange and transfer of user funds, facilitating seamless transactions without holding any user assets.
2. **Yield Management Contracts**: Designed to manage user funds within various yield protocols, these contracts are also responsible for issuing cross-chain native LP tokens derived from DeFi positions.

To enhance security, the yield management contracts are designed as **non-upgradable** and **non-custodian**. This structure ensures that **user funds cannot be withdrawn** without a transaction signed with the user's private key, providing a robust defense mechanism even if the owner address of all Chainspot contracts is compromised.

The liquidity management contracts function exclusively in a **proxy** manner. They do not store user funds but rather act upon requests that include signed messages from the user's private key, alongside the requested exchange rate for transactions or deposits.

Moreover, the issuance, transfer between networks, and burning of cross-chain native LP tokens from user DeFi positions occur in a decentralized manner. This process leverages the cross-chain messaging infrastructure of **Asterizm**, which utilizes cryptography and on-chain validation to ensure the integrity and validity of cross-chain transactions.

## Off-chain Component

As outlined in the [**Architecture -> Overview**](/architecture/overview) section, the off-chain components of Chainspot are exclusively tasked with analytical functions. This includes optimizing the routing of funds for exchange, assembling `callData` based on data obtained via API from liquidity protocols, and managing user participation within the loyalty program.

Importantly, the off-chain modules of Chainspot do not have access to user funds, nor do they engage with any proprietary liquidity. This design enhances security and minimizes risks associated with fund handling.

To ensure robust security, all Chainspot servers—including the frontend—have undergone thorough security audits. They are fortified with **Cloudflare** and **anti-DDoS services** to protect against attacks. Additionally, to prevent any unauthorized modifications to the source code of off-chain modules, **XDR (Extended Detection and Response)** tools are employed. This safeguard ensures that even in the event of server breaches, no changes can be made to the frontend or API of the service.

## 4. Data processing in connection with the Interface

Types of Data Collected To the maximum extent possible, Interface tries to collect as minimum Personal Data from you as possible. Personal Data we collect:&#x20;

* Email address, your name, and any other Personal Data you provide to us when communicating with us. Such Personal Data is used only for communication with you;&#x20;
* The Personal Data that you are asked to provide and the reasons why you are asked to provide it, will be made clear to you at the point we ask you to provide your Personal Data;&#x20;
* IP address, MAC address, log files, domain server, data related to usage, performance, website security, traffic patterns, location information, browser and device information – only when you are using the dApps and other Chainspot services;&#x20;
* Wallet addresses (public blockchain addresses), transaction, and balance information (blockchain data) that is accessible when interacting with the Interface; We use public Blockchain addresses to identify a user’s journey through our product. We group and analyse these user journeys collectively in order to improve our product user experience. We do not use this data for any purpose at an individual user level. The legal basis for this processing is our legitimate interests, such as monitoring and improving the Interface, the proper protection of the Interface against risks and partly the contract performance basis to provide you the Interface. Note that we are not responsible for your use of any of the blockchain and your data processed in these decentralised and permissionless networks;&#x20;
* Log Files. Interface follows a standard procedure of using log files. These files log visitors when they visit websites. All hosting companies do this and this kind of Personal Data may also be collected as a part of hosting services' analytics. The data collected by log files may include internet protocol (IP) addresses, browser type, Internet Service Provider (ISP), date and time stamp, referring/exit pages, and possibly the number of clicks. These kinds of data may be linked to data that is personally identifiable. The purpose of the data collection and processing is for analysing trends, administering the website, tracking users' movement on the website, and gathering demographic information.

Chainspot or we may also engage third-parties advertising platforms that are triggered only when their technical features (so-called “pixels”) are enabled through the Interface. The mentioned third parties advertising platforms may collect Personal Data of Interface\`s visitors only with the purpose to optimise their advertising possibilities through their platforms, target you with their advertisements, and possibly share your data with other advertising platforms and agencies for further use.

**In no event we are going to ask you to share your private keys or wallet seed. Never trust anyone or any website that asks you to enter your private keys or wallet seed.**

## 7. Privacy of children

Our Interface is not directed to collect any data from people under the age of 18. We do not knowingly allow anyone under 18 years old to submit any data to our Interface. If you believe your child may have provided us with their data, you can contact us using the information in this Policy and we will delete the data from our Interface.

## 8. Transfer of Personal Data

Transfers to third countries, shall be made subject to appropriate safeguards, namely Standard Contractual Clauses adopted by the supervisory authority and approved by the Commission. Copy of the foregoing appropriate safeguards may be obtained by you upon a prior written request sent. We may instruct you on further steps to be taken with a purpose of obtaining such a copy, including your obligation to assume confidentiality commitments in connection with being disclosed the Administration’s proprietary and personal information of third parties as well as terms of their relationships with the Interface.

Keep in mind that the use of the Interface based on public blockchains intended to immutably record transactions across wide networks of computer systems. Many blockchains are open to forensic analysis which can lead to deanonymization and the unintentional revelation of Personal Data, in particular when blockchain data is combined with other data. Because blockchains are decentralised or third-party networks which are not controlled or operated by us, we are not able to erase, modify, or alter Personal Data from such networks.

## 9. Data Integrity & Security of Processing

We take data security very seriously. We work hard to protect the Personal Data you provide us from loss, misuse, or unauthorised access. We utilise a variety of safeguards such as encryption, digital and physical access controls, non-disclosure agreements, and other technical and organisational measures to protect the Personal Data submitted to us, both during transmission and once it is at rest.

* “You,” “your,” and “user(s)” refers to anybody who accesses or uses in any way the Interface. ALL INTERACTIONS RELATED TO THE INTERFACE ARE EXECUTED OUTSIDE OF THE CHAINSPOT’S DIRECT OR INDIRECT CONTROL. ### 1. The Interface

TL;DR: The main purpose of the Interface is to provide you with access to the operations in the DeFi space. We only provide the interface and software but have no control over your blockchain interactions and do not endorse any specific actions. All the transactions occur on a blockchain, which is a distributed ledger with growing lists of records (blocks) that are securely linked together via cryptographic hashes (“Blockchain Networks”) that we do not own, control, or operate. We are not responsible for the services provided by third parties, the execution of the transactions, or any other actions of such third parties. We reserve the right to make changes to the Interface, including adding, modifying, or discontinuing products or features.

***Products and Features.*** The Interface integrates decentralized protocols (“Protocol”) and offers you access to numerous liquidity sources across multiple chains. The Interface may include other products and/or features added for the purposes of user experience development and improvement, including those for informational security and entertainment purposes, which are not intended to affect the main purpose of the Interface described above.

THE INTERFACE ENABLES TRANSACTIONS WHERE TOKENS ARE EXCHANGED DIRECTLY BETWEEN A USER AND A THIRD PARTY LIQUIDITY POOL. CHAINSPOT DOES NOT DIRECTLY PARTICIPATE OR INTERVENE IN THESE TRANSACTIONS. YOU SHOULD RECOGNIZE THE INHERENT RISKS OF THE TOKEN SWAPS, AND YOU ARE SOLELY RESPONSIBLE FOR CONDUCTING YOUR OWN DUE DILIGENCE BEFORE ENGAGING IN SUCH TRANSACTIONS. PARTICIPATION IN TRANSACTIONS VIA THE INTERFACE CARRIES INHERENT RISKS FOR WHICH YOU MUST ASSUME FULL RESPONSIBILITY.

We only provide you with access to the relevant interface and software and neither have control over your interactions with the blockchain nor encourage you to perform any. Any interaction performed by you via the Interface remains your sole responsibility.

***Blockchain Networks Transactions.*** In order to be completed, all transactions with cryptocurrency, digital tokens, or digital assets (“virtual currency”) must be confirmed and recorded in the associated public blockchain. Such networks are decentralized peer-to-peer networks supported by independent third parties which we do not own, control, or operate. We have no control over the Blockchain Networks and therefore cannot and do not ensure that any transaction details that you submit via the Interface will be confirmed and processed. By using the Interface, you acknowledge and agree that the transaction details you submit may not be completed or may be substantially delayed by the Blockchain Networks.

WE DO NOT STORE, TRANSFER, TRANSMIT, CONVERT, BROKER, HOLD, ESCROW, MINT, MINE, OR OTHERWISE INTERACT WITH ANY VIRTUAL CURRENCY, SECURITY, FINANCIAL INSTRUMENT, OR OTHER DIGITAL OR PHYSICAL ASSET, AND ALL THE INTERACTIONS ARE PERFORMED ON THE THIRD-PARTY PLATFORMS SUBJECT TO ANY ASSOCIATED THIRD-PARTY TERMS. ANY TRANSFER THAT OCCURS IN ANY VIRTUAL CURRENCY OCCURS ON THE BLOCKCHAIN NETWORK AND NOT ON A NETWORK OWNED BY US. YOU ACCEPT AND ACKNOWLEDGE THAT WE ARE NOT RESPONSIBLE FOR ANY ERRORS OR OMISSIONS THAT YOU MAKE IN CONNECTION WITH ANY VIRTUAL CURRENCY TRANSACTION INITIATED VIA THE INTERFACE. WE STRONGLY ENCOURAGE YOU TO REVIEW YOUR TRANSACTION DETAILS CAREFULLY BEFORE ATTEMPTING TO TRANSFER A VIRTUAL CURRENCY.

Completion of transactions that you instruct for through the Interface also depends on the availability and operation of the Blockchain Networks. Errors or forks in the Blockchain Networks may cause transactions that you initiate through the Interface to fail. This may mean that the transaction you were originally intending to perform will no longer be available. Unfortunately, due to the decentralized nature of the Blockchain Networks, there is no one single point of failure, and so neither we nor any particular party will be responsible to you for errors or any losses that you suffer as a result.

***Third-Party Services.*** To operate the Interface and facilitate your access to its products and/or features, we may engage third-party providers and/or third-party APIs which Chainspot has no direct or indirect control over (“Third-Party Services”). The Third-Party Services are governed by their respective terms and conditions. Such terms and conditions may include separate fees and charges as well as disclaimers and/or risk warnings on the accuracy of the information or the services of such a provider. These terms may also include a privacy policy that differs from the privacy policy that is incorporated by reference herein. It is your sole responsibility to read carefully and make sure that you understand those Third-Party Services terms and conditions, including how those service providers may use your information according to their respective privacy policies.

You agree and understand that the functionalities accessible via the Interface that allow you to swap virtual currencies and get other services are not provided directly by us and are the only responsibility of the third-party providers, including respective active third-party providers. Although we facilitate your access to these Third-Party Services, we by no means are responsible for them and take no part in any actions, transactions, or other activities conducted by such providers. We reserve the right to change, suspend, remove, disable, or impose access restrictions or limits on the use of any Third-Party Service at any time without notice.

You hereby acknowledge that the functionalities accessible via the Third-Party Services are the sole responsibility of such Third-Party Services providers. You hereby expressly release Chainspot from any liability arising from the use of any Third-Party Services, third-party website, service, or content and any resulting harm, loss, or damage.

***Changes.*** We reserve the right, in our sole and absolute discretion, to make changes to how we operate the products and/or features accessible through the Interface, including adding new products, features, functionalities, modifying existing ones, altering any other aspect of the Interface, or temporarily or permanently suspending, discontinuing, or terminating your access to any or all portions of the Interface’s functionality provided that such modifications or discontinuations will not affect your access to your assets (if applicable) unless there are exceptional circumstances where doing so would (a) pose information security risks or intellectual property issues for Chainspot or other users; or (b) create other unwarranted risks including violations of law.

***Additional Terms.*** Certain products accessible through the Interface, including related applications, may be subject to additional terms. Such additional terms are an integral part of these Terms of Use. However, in the event of a conflict, the provisions of any such special terms or other agreement shall prevail.

### 2. Eligibility

**Our Interface is NOT offered to persons or entities who reside in, are citizens of, are incorporated in, or have a registered office in the United States of America, Iran, Cuba, North Korea, Syria, Crimea, Russia, Myanmar (Burma), Côte D'Ivoire (Ivory Coast), Democratic Republic of Congo, China, Iraq, Libya, Mali, Nicaragua, Somalia, Sudan, Yemen, Zimbabwe, or any Prohibited Localities, namely Restricted Persons, as defined below. We do not make exceptions. If you are a Restricted Person, then do not attempt to access or use the Interface. Use of a virtual private network (e.g. a VPN) or other means by Restricted Persons to access or use the Interface is prohibited.**

TL;DR: If you use the Interface, you explicitly confirm that you (a) are at least 18 years old; (b) don’t break any laws of your jurisdiction by using the Interface; (c) are not located, established, or registered in any of the jurisdictions enlisted above titled “Prohibited Localities”.

***General.*** You may not use the Interface if you are otherwise barred from using the Interface under the applicable law.

***Legality.*** YOU ARE SOLELY RESPONSIBLE FOR ADHERING TO ALL LAWS AND REGULATIONS APPLICABLE TO YOU AND YOUR USE OR ACCESS TO THE INTERFACE. YOUR USE OF THE INTERFACE IS PROHIBITED IN CASE IT VIOLATES OR FACILITATES THE VIOLATION OF ANY APPLICABLE LAWS OR REGULATIONS OR CONTRIBUTES TO OR FACILITATES ANY ILLEGAL ACTIVITY INCLUDING BUT NOT LIMITED TO MONEY LAUNDERING, DRUG TRAFFICKING, HUMAN TRAFFICKING, WEAPON TRAFFICKING, TERRORISM, SECURITIES FRAUD, OR TAX EVASION. YOU EXPLICITLY REPRESENT AND WARRANT THAT YOU WILL NOT USE THE INTERFACE TO ASSIST ANY OTHER PARTY IN SUCH ILLEGAL ACTIVITY.

By using or accessing the Interface, you represent to us that you are not subject to the Sanction Lists and you are not a Restricted Person as defined below. “Sanction Lists” means any sanctions designations listed on economic/trade embargo lists and/or specially designated persons/blocked persons lists published by the international organizations as well as any state and governmental authorities of any jurisdiction, including but not limited to the lists of United Nations, European Union and its Member States, United States, and United Kingdom sanctions lists.

We make no representations or warranties that the information, products, or services provided through our Interface are appropriate for access or use in other jurisdictions. You are not permitted to access or use our Interface in any jurisdiction or country if it would be contrary to the law or regulation of that jurisdiction or if it would subject us to the laws of or any registration requirement with such jurisdiction. We reserve the right to limit the availability of our Interface to any person, geographic area, or jurisdiction at any time and at our sole and absolute discretion.

***Prohibited Localities.*** Chainspot does not interact with digital wallets located in, established in, or a resident of Iran, Cuba, North Korea, Syria, Crimea, Russia, Myanmar (Burma), Côte D'Ivoire (Ivory Coast), Democratic Republic of Congo, China, Iraq, Libya, Mali, Nicaragua, Somalia, Sudan, Yemen, Zimbabwe, or any other state, country, or region that is included in the Sanction Lists.

You must not use any software or networking techniques, including use of a Virtual Private Network (VPN), to modify your internet protocol address or otherwise circumvent or attempt to circumvent this prohibition.

***Restricted Persons.*** Chainspot does not interact with digital wallets that have been previously classified or otherwise identified by international organizations or any state and governmental authorities of any jurisdiction as belonging or affiliated with the persons specially designated or otherwise included in the Sanction Lists (“Restricted Persons”). For the purposes of these Terms, Restricted Persons shall also include all persons or entities who reside in, are citizens of, are incorporated in, or have a registered office in the Prohibited Localities.

***Non-Circumvention.*** You agree not to access the Interface using any technology for the purposes of circumventing these Terms.

### 3. Compliance

TL;DR: You expressly agree that you assume all risks in connection with your access to and use of the Interface. Additionally, you expressly waive and release us from any and all liability, claims, causes of action, or damages arising from or in any way relating to your access to and use of the Interface.

***Your Compliance Obligations.*** The Interface may not be available or appropriate for use in all jurisdictions. By accessing or using the Interface, you agree that you are solely and entirely responsible for compliance with all laws and regulations that may apply to you. You further agree that we have no obligation to inform you of any potential liabilities or violations of law or regulation that may arise in connection with your access and use of the Interface and that we are not liable in any respect for any failure by you to comply with any applicable laws or regulations.

TL;DR: You understand and agree that you may be required to complete Know Your Client (KYC) and Know Your Business (KYB) checks through a third-party provider to access certain products and/or features. Your refusal to provide requested information may result in access restrictions.

***Compliance Checks.*** As we aim to provide a safe and compliant environment within Chainspot, some of the products and/or features accessible through the Interface may be available to you only upon the completion of the verification process. The verification involves completing an identifying Know Your Client (KYC) / Know Your Business (KYB) questionnaire (“KYC/KYB Checks”) as required by applicable anti-money laundering, anti-terrorist financing, fraud prevention, and sanctions laws and regulations.

The KYC/KYB Checks may be designated to a third-party provider upon Chainspot's sole discretion. In order to complete the KYC/KYB Checks, you undertake to promptly provide all required information, including supporting documentation and other evidence as may be reasonably requested to such third-party providers elected by Chainspot. You are solely responsible for the accuracy and completeness of the data provided.

You acknowledge and understand that the outcome of the KYC/KYB Checks lies in the sole discretion of the third-party provider. After having successfully passed the KYC/KYB Checks, you will be granted access to the relevant products and/or features on the Interface. In case you refuse or deny providing information as requested by the third-party provider, your access to the respective products and/or features of the Interface may be restricted.

You understand that the amount of information requested to provide as part of the KYC/KYB Checks may be subject to change over time and that you may at a later point in time be required to provide additional documents and/or information.

The data is collected to comply with applicable legal and regulatory obligations in order to verify your identity and determine your legal eligibility. This data is securely maintained and disclosed only when permitted or required by law. For more information on how your personal data is processed please refer to our Privacy Policy.

### 4. Risk Assessment

We may use publicly available information as well as Third-Party Services to assess the risks associated with illicit or non-compliant activities, phishing, or other potential threats. Such risk assessment services may be provided by various third parties, including but not limited to: ChainAbuse, TRMLabs, MetaMask, MEW.

TL;DR: You acknowledge and agree that risk assessment may be conducted using Third-Party Services to monitor wallet addresses and/or other content for non-compliant behavior based on publicly available information. We reserve the right to block or restrict access of the wallet address associated with such illicit activity. We hold no liability for such assessment, restriction results, or accuracy of the Third-Party Services.

***Compliance Assessment.*** Chainspot reserves the right but has no obligation to use publicly available and accessible information and engage third-party providers to monitor and assess your and/or other users’ wallet addresses, third-party links, domain names, virtual currencies, smart contracts, and any other content available via the Interface for the risks of money laundering, terrorism financing, fraud, and/or any other illicit or non-compliant activities. No additional personal data is collected to perform such compliance assessment.

You acknowledge and understand that the compliance assessment results lie in the sole discretion of the third-party provider. Chainspot has no control over or connection to these Third-Party Services, thus Chainspot is not and cannot be responsible for the accuracy of the information or the services of such providers. These Third-Party Services are governed by their respective terms of use; please read them carefully.

Chainspot reserves the right but has no obligation to provide respective warnings to you. You hereby acknowledge that Chainspot has no responsibility and shall not be held liable for such assessment, restriction results, or accuracy thereof. You are solely responsible for the final decision as to the applicability and fitness of such risk assessments.

Chainspot reserves the right but has no obligation to block or restrict any activity on the Interface that may be associated with any illicit and/or non-compliant activities. If you believe you or your wallet address has been blocked or restricted from using the Interface by mistake, please contact us at: <contact@chainspot.io>.

TL;DR: We may provide phishing risk alerts through the Interface, but we do not guarantee their accuracy or reliability. You are responsible for assessing their applicability, and we are not liable for any claims or losses related to these alerts.

***Phishing Alerts.*** Chainspot may occasionally provide phishing and other potential risk alerts through the Interface. These risk alerts are provided for informational purposes only, and we do not make any representations or warranties regarding their accuracy, completeness, or reliability. You are solely responsible for the final decision as to the applicability and fitness of such alerts.

You hereby acknowledge and agree that risk alerts are provided on an “as-is” basis without any warranties or guarantees, and that you assume all the associated risks. Chainspot has no responsibility and shall not be held liable for any claims, damages, or losses arising from or in any way relating to such alerts.

### 5. Access to the Interface

TL;DR: The Interface provides a user interface for Chainspot participants, users, or you that display price information on virtual currency. All interactions related to the Protocol are executed outside of Chainspot’s Network direct or indirect control. Chainspot does not interact with the virtual currency involved at any stage of your interaction. The Interface is constantly changing, so you might see features come and go as we continue to improve our experience and services for users.

We reserve the right to disable access to the Interface at any time in the event of any breach of the Terms, including without limitation if we, in our sole discretion, believe that you at any time fail to satisfy the eligibility requirements set forth in the Terms. Further, we reserve the right to limit or restrict access to the Interface by any person or entity or within any geographic area or legal jurisdiction at any time and at our sole discretion. We will not be liable to you for any losses or damages you may suffer as a result of or in connection with the Interface being inaccessible to you at any time or for any reason.

### 6. Your Use of the Interface

TL;DR: We do not control your interactions and stop an interaction or attempt to reverse an interaction after it occurred. There are some strict rules: do not in any way harm the Interface or other users. And also: you’re ultimately responsible for any interactions as relevant to the Interface. Please review, obtain, or otherwise seek additional information or support before interactions with virtual currency at the Protocol.

By using or accessing the Interface, you represent and warrant that you understand that there are inherent risks associated with virtual currency and the underlying technologies, including without limitation cryptography and blockchain, and you agree that Chainspot is not responsible for any losses or damages associated with these risks. You specifically acknowledge and agree that the Interface facilitates your interaction with decentralized networks and technology and as such, we have no control over any blockchain or virtual currencies and cannot and do not ensure that any of your interactions will be confirmed on the relevant blockchain and do not have the ability to effectuate any cancellation or modification requests regarding any of your interactions.

Without limiting the foregoing, you specifically understand and hereby represent your acknowledgement of the following:

* The pricing information data provided through the Interface does not represent an offer, a solicitation of an offer, or any advice regarding or recommendation to enter into a transaction within the Interface;
* The Interface does not act as an agent for any of the users;
* The Interface does not own or control any of the underlying software through which blockchain networks are formed and therefore is not responsible for them and their operation;
* You are solely responsible for reporting and paying any taxes applicable to your use of the Interface;
* Although it is intended to provide accurate and timely information on the Interface, the Interface or relevant tools may not always be entirely accurate, complete, or current and may also include technical inaccuracies or typographical errors. Accordingly, you should verify all information before relying on it, and all decisions based on information contained on the Interface or relevant tools are your sole responsibility.

In order to allow other users to have a full and positive experience of using the Interface, you agree that you will not use the Interface in a manner that:

* Decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Interface;
* Seeks to defraud us or any other person or entity, including but not limited to providing any false, inaccurate, or misleading information in order to unlawfully obtain the property of another;
* Violates any applicable law, rule, or regulation concerning the integrity of trading markets, including but not limited to the manipulative tactics commonly known as spoofing and wash trading;
* Disguises or interferes in any way with the IP address of the computer you are using to access or use the Interface or that otherwise prevents us from correctly identifying the IP address of the computer you are using to access the Interface;
* Transmits, exchanges, or is otherwise supported by the direct or indirect proceeds of criminal or fraudulent activity;
* Contributes to or facilitates any of the foregoing activities.

All information provided in connection with your access and use of the Interface is for informational purposes only and should not be construed as professional advice. You should not take or refrain from taking any action based on any information contained in the Interface or any other information that we make available at any time, including without limitation blog posts, decentralized apps and services lists, articles, links to third-party content, news feeds, tutorials, tweets, and videos. **Before you make any financial, legal, or other decisions involving the Interface, you should seek independent professional advice from an individual who is licensed and qualified in the area for which such advice would be appropriate.**

The Terms are not intended to and do not create or impose any fiduciary duties on us. You understand and agree that the GitHub repository, decentralized and autonomous protocol and environment, and associated decentralized networks are not controlled by Chainspot. We do not have access to your private key and cannot initiate an interaction with your virtual currency or otherwise access your virtual currency. We are not responsible for any activities that you engage in when using your wallet or the Interface.

TL;DR: the information displayed through the Interface, including “APRs” and information about prices, liquidity, staking, or other, are provided by third parties and/or calculated for informational purposes and we do not provide any warranties that such information is true, reliable, and complete.

Chainspot cannot and does not represent or guarantee that any of the information available through the Interface is accurate, reliable, current, complete, or appropriate for your needs. The information displayed through the Interface, including “APRs” and information about prices, liquidity, staking, or other, is provided by third parties and/or calculated for informational purposes. Your use of any third-party scripts, indicators, ideas, and other content is at your sole risk.

If you lose, mishandle, or have been stolen associated virtual currency private keys, you acknowledge that you may not be able to recover associated virtual currency and that Chainspot is not responsible for such loss. You acknowledge that Chainspot is not responsible for any loss, damage, or liability arising from your failure to comply with the terms hereunder.

TL;DR: blockchain protocols are code subject to flaws, and we do not provide any warranties on the security of such protocols.

By accessing and using the Interface, you represent that you understand (a) the Interface facilitates access to the Protocol, the use of which has many inherent risks, and (b) the cryptographic and blockchain-based systems have inherent risks to which you are exposed when using the Interface. You further represent that you have a working knowledge of the usage and intricacies of blockchain-based digital assets, including without limitation ERC-20 token standard available on the Ethereum blockchain and all other available layer 2 solutions for Ethereum or other blockchains. You further understand that the markets for these blockchain-based digital assets are highly volatile due to factors that include but are not limited to adoption, speculation, technology, security, and regulation. The Interface may contain references or links to third-party resources, including but not limited to information, materials, products, or services that we do not own or control. In addition, third parties may offer promotions related to your access and use of the Interface. We do not endorse or assume any responsibility for any such resources or promotions. If you access any such resources or participate in any such promotions, you do so at your own risk and you understand that the Terms do not apply to your dealings or relationships with any third parties. You expressly relieve us of any and all liability arising from your use of any such resources or participation in any such promotions.

However, by uploading such information or materials, you grant us a worldwide, royalty-free, irrevocable license to use, copy, distribute, publish, and send this data in any manner in accordance with applicable laws and regulations.

You may choose to submit comments, bug reports, ideas, or other feedback about the Interface, including without limitation about how to improve the Interface (collectively “Feedback”). By submitting any Feedback, you agree that we are free to use such Feedback at our discretion and without additional compensation to you and to disclose such Feedback to third parties (whether on a non-confidential basis or otherwise). If necessary under applicable law, then you hereby grant us a perpetual, irrevocable, nonexclusive, transferable, worldwide license under all rights necessary for us to incorporate and use your Feedback for any purpose.

If (i) you satisfy all of the eligibility requirements set forth in the Terms and (ii) your access to and use of the Interface complies with the Terms, you hereby are granted a single personal limited license to access and use the Interface. This license is non-exclusive, non-transferable, and freely revocable by us at any time without notice or cause in our sole discretion. Use of the Interface for any purpose not expressly permitted by the Terms is strictly prohibited. Unlike the Interface, the Protocol is comprised entirely of open-source software running on the public Ethereum and other blockchains or Ethereum layer 2 solutions and is not our proprietary property. The Protocol may also run on the other blockchains to which the same clause applies.

UNDER NO CIRCUMSTANCES SHALL WE OR ANY OF OUR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUBSIDIARIES BE LIABLE TO YOU FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING (BUT NOT LIMITED TO) DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE PROPERTY ARISING OUT OF OR RELATING TO ANY ACCESS TO OR USE OF THE INTERFACE NOR WILL WE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS TO OR USE OF THE INTERFACE OR FROM ANY ACCESS TO OR USE OF ANY INFORMATION OBTAINED BY ANY UNAUTHORIZED ACCESS TO OR USE OF THE INTERFACE. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY: (A) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (B) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM ANY ACCESS TO OR USE OF THE INTERFACE; (C) UNAUTHORIZED ACCESS TO OR USE OF ANY SECURE SERVER OR DATABASE IN OUR CONTROL OR THE USE OF ANY INFORMATION OR DATA STORED THEREIN; (D) INTERRUPTION OR CESSATION OF FUNCTION RELATED TO THE INTERFACE; (E) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE INTERFACE; (F) ERRORS OR OMISSIONS IN OR LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT MADE AVAILABLE THROUGH THE INTERFACE; AND (G) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY. UNDER NO CIRCUMSTANCES SHALL WE OR ANY OF OUR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUBSIDIARIES BE LIABLE TO YOU FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS IN AN AMOUNT EXCEEDING THE GREATER OF (I) THE AMOUNT YOU PAID TO US IN EXCHANGE FOR ACCESS TO AND USE OF THE INTERFACE OR (II) $100.00. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LIABILITY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF CERTAIN LIABILITIES AND DAMAGES. ACCORDINGLY, SOME OF THE DISCLAIMERS AND LIMITATIONS SET FORTH IN THE TERMS MAY NOT APPLY TO YOU. THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

### 11. Arbitration and Class Action Waiver

TL;DR: A third party arbitrator will help us resolve any disputes we might have. This means that any dispute will be resolved outside of class-action litigation. Hopefully, disputes will never be an issue, but you should read this section carefully for details on how it works.

***Binding Arbitration.*** EXCEPT FOR DISPUTES IN WHICH EITHER PARTY SEEKS TO BRING AN INDIVIDUAL ACTION IN SMALL CLAIMS COURT OR SEEKS INJUNCTIVE OR OTHER EQUITABLE RELIEF FOR THE ALLEGED UNLAWFUL USE OF COPYRIGHTS, TRADEMARKS, TRADE NAMES, LOGOS, TRADE SECRETS, OR PATENTS, YOU AND CHAINSPOT: (A) WAIVE THE RIGHT TO HAVE ANY AND ALL DISPUTES OR CLAIMS ARISING FROM THESE TERMS, YOUR USE OR ACCESS TO THE INTERFACE, OR ANY OTHER DISPUTES WITH THE CHAINSPOT (COLLECTIVELY “DISPUTES”) RESOLVED IN A COURT; AND (B) WAIVE ANY RIGHT TO A JURY TRIAL. Instead, you and Chainspot agree to arbitrate Disputes that are not resolved informally (as described below) through binding arbitration (i.e., the referral of a Dispute to one or more persons charged with reviewing the Dispute and making a final and binding determination to resolve it) instead of having the Dispute decided by a judge or jury in court).

***No Class Arbitrations, Class Actions, or Representative Actions.*** You and Chainspot agree that any dispute is personal to you and the Chainspot and that any such dispute will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action, or any other type of representative proceeding. Neither party agrees to class arbitration or to an arbitration in which an individual attempts to resolve a dispute as a representative of another individual or group of individuals. Further, you and the Chainspot agree that a dispute cannot be brought as a class or other types of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals.

***Process.*** You and the Chainspot agree that each will notify the other in writing of any Dispute within thirty (30) days of when it arises so that the parties can attempt in good faith to resolve the Dispute informally. Notice to the Chainspot shall be provided by sending an email to <contact@chainspot.io>. Your notice must include (1) your name, postal address, and email address; (2) a description of the nature or basis of the Dispute; and (3) the specific action that you are seeking. If you and Chainspot cannot resolve the Dispute within thirty (30) days of the Chainspot receiving the notice, either you or Chainspot may, as appropriate pursuant to this Section 9, commence an arbitration proceeding. You and the Chainspot agree that any arbitration or claim must be commenced or filed within one (1) year after the Dispute arose; otherwise, you and the Chainspot agree that the claim is permanently barred (which means that you will no longer have the right to assert a claim regarding the Dispute).

***Choice of Law.*** These Terms are governed by and will be construed under the laws of England and Wales without regard to principles of conflict of laws govern the Terms and any Dispute between you and us. Any Dispute under these Terms shall be finally settled by Binding Arbitration (as defined below). Any unresolved Dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration (LCIA), which rules are deemed to be incorporated by reference into this Section 9 to the extent they are consistent with it. Any dispute arising from or relating to the subject matter of these Terms shall be finally settled in London, United Kingdom in English in accordance with the LCIA Arbitration Rules. Unless we agree otherwise, the arbitrator may not consolidate your claims with those of any other party. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction to the extent a court therein would be deemed to be a court of competent jurisdiction other than any court located in the United States of America. You further agree that although the Interface may be available in other jurisdictions, its availability does not give rise to general or specific personal jurisdiction in any forum outside England and Wales.

***Authority of Arbitrator.*** As limited by these Terms and applicable arbitration rules, the arbitrator will have: (a) the exclusive authority and jurisdiction to make all procedural and substantive decisions regarding a Dispute; and (b) the authority to grant any remedy that would otherwise be available in court. The arbitrator may only conduct an individual arbitration and may not consolidate more than one individual's claims, preside over any type of class or representative proceeding, or preside over any proceeding involving more than one individual.

### 12. Last but not Least

***Changes to these Terms.*** We may amend any portion of these Terms at any time by posting the revised version of these Terms with an updated revision date. The changes will become effective and shall be deemed accepted by you the first time you use or access the Interface after the initial posting of the revised Terms and shall apply on a going-forward basis with respect to your use of the Interface, including any transactions initiated after the posting date. In the event that you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Interface.

***Entire Agreement.*** These Terms (and any additional terms, rules, and conditions of participation that may be posted on the website of Chainspot), including the Privacy Policy, constitute the entire agreement with respect to the Interface and supersedes any prior agreements, oral or written.

***Privacy Policy.*** The Privacy Policy describes the ways we collect, use, store, and disclose your personal information. You agree to the collection, use, storage, and disclosure of your data in accordance with the Privacy Policy.

***Decentralised Autonomous Organizations (DAOs).*** We may interact with and/or provide access to the Interface, products, and/or features to DAOs operating on the basis of Chainspot. To the extent that the DAO votes in favor of any decisions concerning the Interface and/or access and use of any Interface products and/or features, the DAO has acknowledged, agreed, and accepted these Terms, including any terms and conditions incorporated herein by reference.

***Survival**.* Upon termination of these Terms for any reason, all rights and obligations of the parties that by their nature are continuing will survive such termination.

***Severability**.* In the event that any provision of these Terms is deemed invalid or unenforceable, the validity and enforceability of the remaining provisions shall remain unaffected and unimpaired. Any invalid or unenforceable portions can be reasonably interpreted to fulfill the intent and purpose of the original provision. If such interpretation is not possible, the invalid or unenforceable portion will be severed from these Terms while the remaining provisions of the Terms will remain in full force and effect.

***Captions and Summaries.*** The captions identifying the various sections and subsections of these Terms are for reference only and do not define, modify, expand, or limit any of the provisions of these Terms and shall not affect the interpretation of these Terms. In addition, the paragraphs and text accompanying the words “TL;DR” at the beginning of certain sections are intended to summarize the applicable section of these Terms and do not define, modify, expand, or limit any of the provisions of these Terms and shall not affect the interpretation of these Terms.
